A.     ABOUT THIS POLICY

CooperSurgical, Inc. delivers impactful solutions that improve women’s healthcare through our offerings, including a range of medical devices.

In this Privacy Policy:

  • References to “we”, “us” or “our” means CooperSurgical, Inc., and may also include our related companies listed below.
  • References to “you” and “your” relates to data subjects.

This Privacy Policy outlines when, why and how we collect, use and otherwise handle (collectively “process“) personal data about you and other data subjects who use our Services. “Personal Data” is any information relating to you, which can be used to personally identify you, either directly or indirectly.

We offer a range of services, including those related to, but not limited to, providing a wide range of medical solutions, medical devices, billing services, pre-implementation genetic services and testing. We refer to all these services collectively, together with any other CooperSurgical products, as “Services” in this Privacy Policy.  

We may process your Personal Data, as described in this Privacy Policy and as described when we collect data from you. Our Privacy Policy must be read together with any other legal notices or terms and conditions provided to you when we collect data from you (or at a later stage) or that are available on other pages of our website.

We take your privacy very seriously and ask that you read this Privacy Policy carefully, as it contains important information about our processing of your Personal Data and your rights. If you provide us with Personal Data relating to another person (e.g. your spouse or partner), please ensure that you share this Privacy Policy with them and that they agree for their Personal Data to be shared with us.

We may change this Privacy Policy from time to time to reflect any changes or proposed changes to our use of your Personal Data, or to comply with changes in applicable law or regulatory requirements.

B.     WHO IS ACCOUNTABLE FOR YOUR DATA?

C. CHILDEREN’S ONLINE PRIVACY

Our websites, applications and platforms are not intended for use by children under 13 years, and in the European Economic Area (“EEA”) under 16.  If a parent or guardian becomes aware that their child has provided us with personal information without their consent, that parent or guardian should contact us. If we become aware that a child has provided us with personal information, we will delete such information from our files.

D. PATIENTS OF CLINICS AND HEALTHCARE PROVIDERS

If you are a patient of a clinic or a healthcare provider (“HCP”) using our Services, we are the data controller in respect only of the categories of Personal Data described in the table in Section E below, which we process predominantly for the purposes of administering and managing our Services and for sending you non-marketing communications relating to our Services or your use of it.

Your clinic or HCP is the data controller for any of other Personal Data which is processed about you on our Services; for example, relating to your cryo-storage inventory, diagnostic support services and test orders and the choices you make in respect of them. In respect of that other Personal Data, we are a data processor processing that Personal Data on the instructions of your clinic or HCP (except where law requires otherwise). Please contact your clinic or HCP to find out about their privacy practices and to read their privacy policy or notice.

For the purposes of the table below, references to “Clinics/HCP” and ‘’Customers” refer to employees, representatives, or other personnel of those organizations whose personal data may be processed.   • for business and disaster recovery (e.g., to create back-ups);
  • to ensure network and information security;
  • for document and data retention/storage;
  • to protect the rights, property, and/or safety of CooperSurgical, Inc., any of its Affiliates, its personnel and others; and

If you choose not to provide the Personal Data requested by us, we may not be able to provide you with the Services you have requested or otherwise fulfil the purpose(s) for which we have asked for the Personal Data.

F.     HOW AND WHEN DO WE SHARE DATA WITH THIRD PARTIES?

Some Services that we provide require the involvement of third parties:

a) Data sharing with Affiliates

We may share your Personal Data with our Affiliates including CooperSurgical, Inc.:

  • where we need to do so in order to provide the Services or information that you have requested; for example, we may transfer your Personal Data to CooperSurgical, Inc. for central support services; or
  • for the purposes of IT support and maintenance; or
  • internal governance and administration; or
  •  to comply with our legal or regulatory obligations.

Details of the Affiliates, including their locations, are listed below.

b) Data sharing with service providers

We also share your Personal Data with our third-party service providers, whom we engage to provide various services, in relation to:

  • IT services and solutions (e.g., providing data storage, assisting us with database management);
  • marketing and advertising services;
  • payment collection and processing;
  • standard postage and mailing; and
  • document eSignature facilitation.

c) Data sharing with other recipients

We may also share your Personal Data with:

  • your clinic;
  • Regulators, inspectors, auditors when we have a mandatory inspection of testing processes;
  • our accountants, auditors, lawyers or similar advisers when we ask them to provide us with professional advice;
  • any other third party if we are under a duty to disclose or share your Personal Data in order to comply with any legal obligation (e.g., we may disclose to the FDA health information relative to adverse events with respect to product and product defects or post marketing surveillance information to enable product recalls, repairs or replacement), or to protect the rights, property and/or safety of CooperSurgical, any of the Affiliates, its personnel and others;
  • any other third party for the purposes of acting in accordance with the requirements of a court, regulator or government agency, for example, complying with a court order or acting in accordance with an applicable law or regulation; or
  • Law enforcement agencies in connection with the prevention and detection of crime.

G.   TRANSFERS OUTSIDE THE EUROPEAN ECONOMIC AREA (“EEA”) AND THE UK

We and our Affiliates are located in various countries worldwide. We may also use third party suppliers located outside the EEA and the UK. Those of you located in the EEA or the UK may have your Personal Data transferred outside the EEA and the UK to countries such as the United States, where it will be stored and processed for the purposes set out in this Privacy Policy.

Countries outside the EEA and the UK will not have the same data protection laws as the EEA and the UK; in particular, those countries may not provide the same degree of protection for your Personal Data, may not give you the same rights in relation to your Personal Data and may not have a data protection supervisory authority to help you if you have any concerns about the processing of your Personal Data. However, when transferring your Personal Data outside the EEA or the UK, we will comply with our legal and regulatory obligations in relation to your Personal Data, including having a lawful basis for transferring Personal Data and putting appropriate safeguards in place to ensure an adequate level of protection for the Personal Data. We will take reasonable steps to ensure the security of your Personal Data in accordance with applicable data protection laws.

We may only transfer your Personal Data outside of the EEA:

  • where the transfer is to a place or by a method or in circumstances that is regarded by the European Commission or UK (as applicable) as providing adequate protection for your Personal Data;
  • where we have put in place standard data protection clauses adopted by the European Commission, the Secretary of State in the UK or a relevant data protection authority; or
  • where none of the above apply but we are still legally permitted to do so, for example if the transfer is necessary for the performance of a contract concluded with you or in your interest, or for the establishment, exercise or defence of legal claims.

H.     HOW LONG DO WE STORE PERSONAL DATA?

It is our policy to retain your Personal Data for the length of time required for the specific purpose or purposes for which it was collected (e.g., for the fulfilment of an agreement with you). However, we may be obliged to store some Personal Data for a longer time, taking into account factors including:

  • legal obligation(s) under applicable law to retain data for a certain period of time (e.g., compliance with tax and accountancy requirements or clinical standards);
  • the establishment, exercise or defence of legal claims (e.g., for the purposes of a potential dispute).

Whilst we continue to process your Personal Data, we will ensure that it is treated in accordance with this Privacy Policy. Otherwise, we securely erase or anonymise your Personal Data once it is no longer needed.

I.     HOW DO WE PROTECT YOUR PERSONAL DATA?

We acknowledge that your Personal Data may be confidential. We will maintain the confidentiality of and protect your Personal Data in accordance with our Privacy Policy and all applicable laws.

We have implemented technological and operational security measures in order to protect your Personal Data from loss, misuse, or unauthorized alteration or destruction. Such measures include the use of firewalls, encryption, proper access rights management processes, careful selection of processors and other technically and commercially reasonable measures to provide appropriate protection for your Personal Data.  Where appropriate, we may also make backup copies and use other such means to prevent accidental damage to or destruction of your Personal Data.  These measures ensure an appropriate level of security in relation to the risks inherent in the processing and the nature of the Personal Data to be protected.

Please note however that where you are transmitting information to us over the internet this can never be guaranteed to be 100% secure. For any payments which we take from you online we will use a recognised online secure payment system.

We will notify you promptly in the event of any breach of your Personal Data that might expose you to serious risk.

J.     YOUR RIGHTS

You have certain rights in relation to the Personal Data we hold about you. The rights may only apply in certain circumstances and are subject to certain exemptions. Depending on the circumstances, you may have the following rights under applicable data protection law with respect to your Personal Data and our processing of that data.  These rights include the right: (i) to obtain copies of your Personal Data; (ii) to have your Personal Data corrected or deleted; (iii) to limit the way in which your Personal Data is used; (iv) to object to our use of your Personal Data; (v) to transfer your Personal Data; (vi) not to be subject to decisions based on automated processing (including profiling); and (vii) to complain to a supervisory authority. Please allow up to 30 days to fulfil your request. We can extend this period in accordance with applicable privacy laws.

  • The right to be informed – you have the right to be provided with clear, transparent and easily understandable information about how we use your Personal Data. This is why we are providing you with the information in this Privacy Policy and in any legal notices or terms and conditions provided to you.
  • The right of access – you have the right to obtain from us confirmation as to whether or not your Personal Data is being processed by us, and about certain other information (similar to that provided in this Privacy Policy) about how it is used. You also have the right to access your Personal Data, by requesting a copy of the Personal Data concerning you. This is so you are aware and can check that we are using your information in accordance with data protection law. We can refuse to provide information where to do so may reveal Personal Data about another person or would otherwise negatively impact another person’s rights.
  • The right to rectification – you can ask us to take measures to correct your Personal Data if it is inaccurate or incomplete (e.g., if we have the wrong name or address for you). If we have shared your Personal Data with others, we’ll let them know about the rectification where possible. If you ask us, where possible and lawful to do so, we will also tell you who we’ve shared your Personal Data with so that you can contact them.
  • The right to erasure – this is also known as the ‘right to be forgotten’ and, in simple terms, enables you to request the deletion or removal of your Personal Data where, for example, there is no compelling reason for us to keep using it or its use is unlawful. This is however not a general right to erasure and there are some exceptions, e.g. where we need to use the information in defence of a legal claim or to be able to comply with a legal obligation.
  • The right to restrict processing – you have the right to ‘block’ or suppress the further use of your Personal Data when we are assessing a request for rectification or as an alternative to erasure. When processing is restricted, we can still store your Personal Data, but may not use it further. If we’ve shared your Personal Data with others, we’ll let them know about the restriction where it is possible for us to do so. If you ask us, where it is possible and lawful for us to do so, we’ll also tell you who we’ve shared your Personal Data with so that you can contact them directly.
  • The right to data portability – you have the right to obtain and reuse certain Personal Data for your own purposes across different organisations (being separate data controllers). This only applies to your Personal Data that you have provided to us that we are processing with your consent and for the purposes of contract fulfilment, which is being processed by automated means. In such a case we will provide you with a copy of your Personal Data in a structured, commonly used and machine-readable format or (where technically feasible) we may transmit your Personal Data directly to a separate data controller.
  • The right to object – you have the right to object to certain types of processing, on grounds relating to your particular situation, at any time insofar as that processing takes place for the purposes of legitimate interests pursued by us, CooperSurgical, Inc., any of the Affiliates, or by a data recipient. We will be allowed to continue to process the Personal Data if we can demonstrate compelling legitimate grounds for the processing that override your interests, rights and freedoms or we need this for the establishment, exercise or defence of legal claims. If you object to the processing of your Personal Data for direct marketing purposes, we will no longer process your Personal Data for such purposes.
  • The right to withdraw consent – where we process your Personal Data on the basis of your consent, you have the right to withdraw your consent at any time. However, such withdrawal does not affect the lawfulness of the processing that occurred prior to such withdrawal.
  • The right to lodge a complaint with the supervisory authority – if you have a concern about any aspect of our privacy practices, including the way we have handled your Personal Data, please contact us. You can also report any issues or concerns to a national supervisory authority in the Member State of your residence or the place of the alleged infringement. If you are based in the UK, your supervisory authority is the Information Commissioner’s Office (www.ico.org.uk).

K.     STATE PRIVACY RIGHTS

This section provides additional information to residents of particular states pursuant to applicable state privacy laws (collectively the “State Privacy Laws”).  In this section, the term “Personal Information” means information defined as “personal information,” “personal data,” or other similar term under the State Privacy Laws.  The State Privacy Laws may provide residents with some or all of the rights listed below.  Please note that not all rights listed below may be afforded to all users and that if you are not a resident of one of the states that provides for such rights, you may not be able to exercise these rights. In addition, we may not be able to process your request if you do not provide us with sufficient detail to allow us to confirm your identity or understand and respond to it. We may decline your request in certain cases as permitted by law. The below may be dependant upon whether your state of residency requires us to do the following:

  • Information. You can request the following information about how we have collected and used your Personal Information:

    • The categories of sources from which we collected Personal Information.
    • The business or commercial purpose for collecting and/or selling Personal Information.

    • The categories of third parties to whom the Personal Information was sold or disclosed for a business purpose.
  • Access. You can request a copy of the Personal Information that we have collected about you s.
  • Appeal. You can appeal our denial of any request validly submitted.
  • Correction. You can ask us to correct inaccurate Personal Information that we have collected about you.
  • Deletion. You can ask us, subject to certain exceptions, to delete the Personal Information that we have collected from you.
  • Opt-out of certain processing for targeted advertising purposes. You can opt-out of certain processing of personal information for targeted advertising purposes.
  • Limit processing of Sensitive Personal Information. You can ask us to limit the processing of any Sensitive Personal Information we collect as necessary for our (1) service or product delivery and operations, (2) Compliance and protection, (3) research and development, or (4) service or product improvement and analytics purposes.
  • Non-discrimination. You are entitled to exercise the rights described above free from discrimination as prohibited by the State Privacy Laws.

Exercising your right to information/know, access, appeal, correction, deletion and limit processing of Sensitive Personal Information. You may submit requests to exercise your right to information/know, access, appeal, correction, deletion or limit processing by calling us toll free at 833-776-6255, or via email to [email protected].

Exercising your right to opt-out of processing for targeted advertising purposes. While we do not sell personal information for money, like many companies, we use services that help deliver interest-based ads to you as described above. The State Privacy Laws may classify our use of some of these services as “selling” or “sharing” your Personal Information with the advertising partners that provide the services. You can opt-out of tracking for targeted advertising purposes or other sales of Personal Information by clicking Cookie Preferences. Your request to opt-out will apply only to the browser and the device from which you submit the request. Verification of Identity; Authorized agents. We may need to verify your identity in order to process your information/know, access, appeal, correction, or deletion requests and reserve the right to confirm your residency. To verify your identity, we may require government identification, a declaration under penalty of perjury, or other information, where permitted by law.

Under the State Privacy Laws, you may be permitted to authorize an authorized agent to make a request on your behalf. However, we may need to verify your authorized agent’s identity and authority to act on your behalf. We may require a copy of a valid power of attorney given to your authorized agent pursuant to applicable law. If you have not provided your agent with such a power of attorney, we may ask you to take additional steps permitted by law to verify that your request is authorized, such as by providing your agent with written and signed permission to exercise your rights on your behalf, the information we request to verify your identity, and confirmation that you have given the authorized agent permission to submit the request.

In order to improve our Services and website experiences for users, we and our third-party partners track and collect Information about consumers’ behavior and use of our websites across all of our systems using various technologies including, but not limited to, cookies, tags, and other online tracking technologies (collectively, “Cookies”). Unless otherwise mentioned, when we refer to “Cookies,” we are referring to any of these technologies.

We may use Cookies to help us do various things, like analyzing which parts of the site are most popular to visitors, measuring the effectiveness of online advertisements, identifying lifestyle interests and demographic information, gaining customer insights, etc.

Cookies usually contain a unique identifier and may collect information associated with your device when you visit our website.

Cookies remain a fundamentally important part of how we customize users’ online experiences, serve users personalized advertising based on their interests and browsing habits, perform analytics and improve our Services.

Third-Party ad networks

We partner with third-party advertising networks and analytics providers to manage our advertising across various platforms and to gain audience insights. These third-party partners may include, but are not limited to, providers such as Google, Meta, Microsoft and others. We may utilize features offered by these partners that are based on display advertising and audience analytics which may include demographic and interest reporting, remarketing, impression reporting and platform integrations.

As part of their services, these third parties may use technologies such as cookies, clear GIFs, and anonymous identifiers to collect data about site traffic and user interactions.
